Job Title:  Corporate Paralegal

Location: Atlanta, GA, 30305

Salary/Payrate: Dependent on experience + bonus and AWESOME benefits!!!

Work Environment: Onsite

Term: Permanent 

Bachelor’s degree required: Preferred - Paralegal Certificate Required

Referral Fee: AMS will pay referral $500 should the person you refer gets hired

Billable Hours: 1400

 


Job Description:

 

Position Summary

  • Provides comprehensive legal and administrative support to attorneys across a wide range of corporate and transactional matters.
  • Supports transactions from inception through closing.
  • Assists with ongoing corporate governance and compliance matters.



Key Responsibilities

  • Support attorneys with mergers and acquisitions, joint ventures, financings, and other corporate transactions.
  • Prepare, draft, and maintain transaction documents, including checklists, closing binders, signature packets, and ancillary agreements.
  • Coordinate and manage due diligence processes, including data rooms and document review.
  • Assist with entity formation, dissolution, and restructuring matters.
  • Prepare and file corporate documents with state and regulatory agencies.
  • Maintain corporate records, minute books, and entity management databases.
  • Prepare board and shareholder materials, including consents, resolutions, and meeting minutes.
  • Coordinate signatures, notarizations, and filings.
  • Maintain organized electronic and physical files.
  • Track billable time and assist with matter administration.



Qualifications


Required:

  • Paralegal certificate from an accredited program.
  • Minimum of three (3) years of corporate or transactional paralegal experience.
  • Strong understanding of corporate entities, governance, and transactional workflows.
  • Excellent organizational, communication, and time-management skills.



Preferred:

  • Experience supporting mergers and acquisitions, private equity, or finance transactions.
  • Familiarity with due diligence platforms and virtual data rooms.
  • Experience with multi-entity and multi-jurisdictional filings.
  • Experience working with registered agents and compliance service providers.
