Position Overview
We are seeking a highly organized, detail-oriented, and proactive Paralegal / Legal Assistant to support both the legal and administrative functions of our corporate law practice. This position combines hands on legal support with coordination of day-to-day operational tasks, including corporate governance support, entity formation and maintenance, document preparation, matter management, calendaring, client communication, and general administrative responsibilities. The ideal candidate will bring 8+ years of experience in a law firm or legal department, preferably with experience supporting corporate entities, governance documentation, annual filings, and corporate records, along with exceptional organizational skills and the ability to manage multiple priorities in a fast-paced environment.

Paralegal Duties:
- Prepare and maintain corporate governance documents, including entity formations, annual filings, resolutions, consents, and related records.
- Coordinate Secretary of State filings, annual reports, foreign qualifications, registered agent updates, and related compliance requirements.
- File documents with Secretary of State offices, licensing boards, regulatory agencies, and other applicable entities.
- Support healthcare regulatory and compliance matters, including document preparation and policy updates.
- Prepare, proofread, and format legal correspondence, regulatory submissions, compliance documentation, and internal memoranda.
- Communicate with clients, regulatory agencies, registered agents, and internal stakeholders regarding filings and compliance matters.
- Assist attorneys with legal research, due diligence, audit support, and responses to regulatory inquiries, requests, and compliance reviews.
Legal Assistant Duties:
- Maintain exceptional attention to detail and organization in all legal and administrative assignments.
- Proactively manage attorney schedules, monitor deadlines, and follow up to ensure timely completion of all tasks.
- Ensure strict confidentiality of client, firm, and regulatory information at all times.
- Prepare intake forms, perform conflict checks, draft engagement agreements, open matters in the practice management system, and coordinate client onboarding and document collection.
- Prepare, format, proofread, and finalize legal documents, correspondence, and administrative materials.
- Maintain and organize electronic and physical files in accordance with firm document retention procedures.
- Communicate professionally with clients, regulatory agencies, registered agents, and third parties regarding filings and administrative matters.
- Assist attorneys with time entry and related administrative support.
- Assist with reporting, special projects, and other administrative initiatives as needed.
Qualifications
- Prior experience in a law firm or legal department required.
- Strong understanding of legal terminology and procedures.
- Proficiency in legal software (e.g., Clio, Document Management, Microsoft Office Suite).
- Excellent written and verbal communication skills.
- Ability to handle confidential information with discretion.
- Strong multitasking and time management abilities.
- Experience managing office operations or administrative teams preferred.
Preferred Skills
- Paralegal experience is a plus.
- Experience in healthcare law is a plus.
- Familiarity with legal billing and coding practices.
