Overview
A well-established law firm is seeking an experienced Corporate Paralegal to join its corporate and transactional practice group. This role will support attorneys on a wide range of corporate transactions, including mergers and acquisitions, financing transactions, entity formations, and ongoing corporate governance matters.
The ideal candidate will have at least 7 years of corporate or transactional paralegal experience within a law firm environment and possess strong organizational skills, attention to detail, and the ability to manage multiple matters simultaneously.
Key Responsibilities
- Support attorneys in mergers and acquisitions, financing transactions, and general corporate matters.
- Prepare, organize, and maintain corporate records, resolutions, written consents, minutes, and governance documents.
- Coordinate entity formations, dissolutions, mergers, conversions, and restructurings.
- Manage state qualification filings, annual reports, and compliance requirements across multiple jurisdictions.
- Conduct corporate due diligence and assist with transaction closings.
- Prepare closing binders and maintain corporate records databases.
- Coordinate with clients, government agencies, and third-party service providers regarding entity and compliance matters.
- Assist with UCC filings and other transactional documentation as needed.
Qualifications
- Minimum of 7 years of corporate or transactional paralegal experience in a law firm setting.
- Significant experience supporting M&A transactions, financing matters, and corporate governance activities.
- Strong understanding of business entity structures, including corporations, LLCs, partnerships, and nonprofit entities.
- Experience with multi-state entity formation, qualification, and compliance filings.
- Excellent organizational, communication, and project management skills.
- Ability to work independently in a fast-paced legal environment while managing competing priorities.
