Job Title: Corporate Attorney

Location: New York City, NY

Salary/Payrate: $175,000–$250,000+ (DOE; higher compensation available for candidates with a portable book of business)

Work Environment: Hybrid (TBD)

Term: Permanent

Bachelor's Degree Required: Yes (J.D. required)

Referral Fee: AMS will pay $500 should the person you refer gets hired.

 


Overview

 

A highly respected law firm is seeking a Corporate Associate Attorney to join its growing New York office. This opportunity is ideal for an attorney who enjoys serving as a trusted business advisor to privately held companies and business owners while handling a broad range of sophisticated corporate matters.

 

The practice focuses on general corporate counseling, commercial transactions, and middle-market M&A, with an emphasis on advising private clients through day-to-day business operations, strategic transactions, and corporate governance matters.

 

The firm is seeking someone who enjoys working directly with privately held businesses on practical corporate and transactional matters.

 

Key Responsibilities

  • Advise privately held businesses on a wide range of general corporate matters.
  • Draft, review, and negotiate commercial agreements and corporate contracts.
  • Handle mergers, acquisitions, asset purchases, and other strategic business transactions.
  • Counsel clients on corporate governance, entity formation, and ongoing operational matters.
  • Work closely with business owners and executives to provide practical legal solutions.
  • Collaborate with partners on sophisticated corporate transactions while managing client relationships.



Qualifications

  • J.D. from an accredited law school.
  • 5–10+ years of corporate transactional experience
  • Active New York Bar admission and in good standing.
  • Significant experience in general corporate law and commercial transactions.
  • Experience drafting and negotiating a variety of corporate and commercial agreements.
  • Experience handling middle-market M&A transactions.
  • Strong client counseling, negotiation, and communication skills.
  • Ability to independently manage matters while collaborating with partners and clients.

 


Preferred Experience

  • Experience representing privately held companies, entrepreneurs, and closely held businesses.
  • Business-minded approach to client counseling.
  • Portable book of business is welcomed but not required.

 


Compensation & Benefits

  • Competitive base salary ranging from $175,000–$250,000+, depending on experience.
  • Higher compensation may be available for attorneys with a portable book of business
