Job Description:

Our large law firm client is seeking an experienced Corporate Associate – Finance to join its sophisticated corporate and finance practice. The ideal candidate will have substantive experience representing institutional clients in complex financing and lending transactions and a strong background working with sophisticated financial institutions, lenders, borrowers, and corporate clients.

This position is specifically focused on institutional finance, rather than private investment fund formation. Candidates should have meaningful experience with financing transactions, credit facilities, loan documentation, secured transactions, and related corporate finance matters.

Responsibilities:

• Represent institutional clients in sophisticated financing and lending transactions.
• Draft, review, and negotiate credit agreements, loan documents, security agreements, guarantees, and other financing documentation.
• Represent banks, financial institutions, institutional lenders, borrowers, and other sophisticated corporate clients.
• Assist with structuring and documenting secured and unsecured financing transactions.
• Conduct and oversee transactional due diligence.
• Manage financing transactions from initial structuring through closing.
• Review organizational documents, collateral documentation, and other materials related to financing transactions.
• Coordinate with clients, opposing counsel, lenders, borrowers, and other transaction participants.
• Identify material legal and business issues and provide practical, commercially focused solutions.
• Independently manage significant portions of transactions while collaborating with partners and other members of the deal team.
• Manage multiple sophisticated transactions and deadlines simultaneously.
• Provide high-quality and responsive client service.

Qualifications/Requirements:

• J.D. from an accredited law school.
• Active and in-good-standing admission to the applicable state bar.
• Substantive corporate finance and lending experience.
• Strong institutional finance experience required.
• Experience representing banks, financial institutions, institutional lenders, borrowers, or other sophisticated corporate clients preferred.
• Experience with credit facilities, loan documentation, secured transactions, guarantees, and related financing documents.
• Large law firm or comparable sophisticated transactional experience strongly preferred.
• Strong drafting, negotiation, analytical, and transaction-management skills.
• Ability to independently manage significant portions of complex financing transactions.
• Excellent written and verbal communication skills.
• Ability to manage multiple matters and deadlines while working collaboratively with attorneys and client teams.
• Commitment to providing high-quality client service.
• Candidates whose finance experience is primarily private fund formation or investment fund work will not be the target profile for this position.
