Overview
A highly regarded law firm is seeking a Corporate/M&A Associate Attorney with 3–5 years of mergers and acquisitions experience to join its growing corporate practice in the DMV area. This is an excellent opportunity for an attorney who enjoys working on sophisticated middle-market transactions while gaining significant client exposure and increasing responsibility.
The ideal candidate will have experience supporting acquisitions, mergers, and other corporate transactions from due diligence through closing. While the primary focus of this role is M&A, experience advising clients on general corporate matters is considered a strong plus.
This position offers the opportunity to work closely with experienced partners, represent privately held companies and business owners, and assume responsibility for substantive associate-level work in a collaborative and entrepreneurial environment.
Key Responsibilities
- Assist with mergers, acquisitions, and other middle-market corporate transactions.
- Conduct legal due diligence and prepare due diligence summaries.
- Draft, review, and negotiate purchase agreements, ancillary transaction documents, and related corporate agreements.
- Coordinate transaction closings and manage closing checklists.
- Assist with entity formations, restructurings, and other corporate governance matters.
- Advise privately held businesses on a variety of general corporate and transactional issues.
- Work directly with partners and clients throughout all phases of a transaction.
Qualifications
- J.D. from an accredited law school.
- Active Bar admission in DC, Maryland, or Virginia (or ability to waive into the appropriate jurisdiction).
- 3–5 years of mergers and acquisitions experience at a law firm.
- Experience handling middle-market corporate transactions.
- Strong drafting and negotiation skills for transaction documents.
- Experience conducting legal due diligence.
- Ability to independently manage associate-level responsibilities while collaborating effectively with partners and clients.
- Excellent written, verbal, and interpersonal communication skills.
Preferred Experience
- Experience representing privately held businesses and closely held companies.
- General corporate law experience, including corporate governance and commercial contracts.
- Ability to manage multiple transactions simultaneously in a fast-paced environment.
- Strong organizational skills with exceptional attention to detail.
